Terms of Sale – BuyGoods

Last Updated: January 1, 2024. Please read these Terms and Conditions of Sale carefully. By using this site and/or placing an order for products from this site, you ("Buyer") accept and are bound by these terms. These Terms apply to the purchase and sale of products and use of the sites buygoods.com, buygoodshomeoils.com, and buygoodssupplements.com (collectively, the "Site"). BuyGoods reserves the right to change these Terms at any time without prior written notice.

Acceptance & Returns

Buyer agrees that each order constitutes an offer to purchase all products listed in the order. BuyGoods is not obligated to accept any order and may, at its sole discretion, decline in whole or in part. Upon receipt of the order, BuyGoods will send a Confirmation Email with the order number and product details. BuyGoods allows the return or exchange of any product purchased through the Site within sixty (60) days from the date of purchase. For more details, refer to the BuyGoods Refund Policy.

Order Eligibility

By placing an order, Buyer represents and warrants that: (a) products are purchased for personal use only, not for commercial resale or export; and (b) Buyer will comply with all applicable laws and regulations related to the purchase, receipt, possession, use, and sale of any products from the Site.

Payment

All prices are subject to change without notice. The price charged will be the price in effect at the time the order is placed, as specified in the Confirmation Email. All applicable taxes and charges will be added to the total and itemized at checkout. BuyGoods is not responsible for pricing errors and reserves the right to cancel any order resulting from such errors. Buyer's purchases will appear on their bank statement under the name "BUYGOODS 302-200-3480."

Buyer warrants that: (a) credit card information provided is true, correct, and complete; (b) Buyer is authorized to use such credit card; (c) charges will be honored by Buyer's credit card company; and (d) Buyer will pay all charges at the posted prices, including taxes. Payment is subject to validation and authorization by the card company and BuyGoods.

Disclaimer of Warranties

Except as otherwise expressly provided, the Site and all products are provided on an "as is" and "as available" basis. BuyGoods disclaims all warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. BuyGoods does not warrant that the Site or products will be uninterrupted, secure, or free of errors or viruses.

Indemnification

To the fullest extent permitted by law, Buyer agrees to defend, indemnify, and hold harmless BuyGoods, its affiliates, officers, directors, employees, contractors, and assigns from any third-party claim arising out of: (a) Buyer's use of the Site; (b) Buyer's use of any product purchased from the Site; (c) Buyer's violation of these Terms or applicable law; or (d) Buyer's violation of any third-party right.

Limitation of Liability

To the fullest extent permitted by law, BuyGoods' aggregate liability to Buyer for all claims is limited to the total amount paid by Buyer to BuyGoods for products purchased within the twelve (12) months preceding the applicable claim. In no event will BuyGoods be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or goodwill.

Intellectual Property

BuyGoods and its licensors are the sole and exclusive owners of all copyrights, patents, trade secrets, trademarks, and other intellectual property rights in and to each product made available on the Site. Buyer does not acquire any ownership of any products or intellectual property through purchase. All trademarks, service marks, logos, and product names displayed on the Site are the property of BuyGoods, its affiliates, or its licensors and may not be used without prior written consent.

Privacy & Security

The BuyGoods Privacy Policy governs the processing of all personal data collected in connection with purchases through the Site. BuyGoods cannot guarantee that files or content available through the Site will be free of viruses or destructive code. Buyer is responsible for implementing adequate antivirus and data-protection measures.

Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of Delaware. Any litigation shall be brought in the state and federal courts located in Boise, Delaware. Buyer irrevocably submits to the exclusive jurisdiction of those courts. No claim may be brought more than twelve (12) months after the cause of action arises. Buyer and BuyGoods each waive the right to trial by jury and agree to bring claims only in individual capacity — not as part of any class action or representative action.

To opt out of the class action waiver, Buyer must send a written letter postmarked within 30 days of purchase to: BuyGoods, Attn: Class Action Opt-Out, 1000 North West St. Suite #1200, Wilmington, DE 19801, USA, including full name, address, purchase location, products purchased, date, and the specific provisions being opted out of.

Miscellaneous

• No Support: BuyGoods is under no obligation to provide support for any products purchased from the Site.
• Assignment: Buyer may not assign rights or delegate obligations under these Terms without BuyGoods' prior written consent. BuyGoods may assign these Terms at any time.
• No Waiver: Failure by BuyGoods to enforce any right or provision shall not constitute a waiver of future enforcement.
• Severability: If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or disregarded if modification is not permitted.
• Entire Agreement: These Terms, together with the BuyGoods Refund Policy and Privacy Policy, constitute the entire agreement between Buyer and BuyGoods.
• Notices: BuyGoods may provide notice by email to the address provided at purchase or by posting to the Site. It is Buyer's responsibility to keep their email address current.
